1. Acceptance of Terms

By accessing or using monosign.net ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

monosign provides electronic signature services that allow users to sign, send, and manage documents digitally. The Service includes web-based applications, mobile applications, and API access. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. User Accounts and Registration

To use certain features of the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access
  • Accept responsibility for all activities under your account
  • Be at least 18 years of age

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Electronic Signatures

You acknowledge and agree that:

  • Electronic signatures created through monosign have the same legal effect as handwritten signatures
  • You consent to conduct business electronically
  • Electronic signatures comply with the U.S. Electronic Signatures in Global and National Commerce Act (ESIGN), Uniform Electronic Transactions Act (UETA), and EU eIDAS regulation
  • You are responsible for ensuring documents you sign are legally appropriate for electronic signature in your jurisdiction
  • monosign maintains comprehensive audit trails for all signature transactions
  • Signatures are time-stamped and cannot be repudiated once applied

5. Subscription and Billing

Paid subscriptions are billed in advance on a monthly or annual basis. By subscribing, you agree to:

  • Pay all fees associated with your chosen plan
  • Provide current, complete, and accurate billing information
  • Authorize automatic renewal unless you cancel before the renewal date
  • Accept that fees are non-refundable except as required by law
  • Acknowledge that we may change pricing with 30 days' notice

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.

6. Intellectual Property Rights

The Service and its original content, features, and functionality are owned by monosign and are protected by international copyright, trademark, and other intellectual property laws. You retain all rights to documents you upload. By using the Service, you grant us a limited license to process, store, and transmit your documents solely to provide the Service.

7. Prohibited Activities

You agree not to:

  • Use the Service for any illegal purpose or in violation of any laws
  • Upload malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to the Service or related systems
  • Interfere with or disrupt the Service or servers
  • Impersonate another person or entity
  • Harvest or collect information about other users
  • Use the Service to send spam or unsolicited communications
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Resell or redistribute the Service without authorization

8. Limitation of Liability

To the maximum extent permitted by law, monosign shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or other intangible losses resulting from: (a) your use or inability to use the Service; (b) unauthorized access to your account; (c) errors or interruptions in the Service; or (d) any other matter relating to the Service. Our total liability shall not exceed the amount you paid to us in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless monosign and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any documents you upload or signatures you create.

10. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service will immediately cease. You may delete your account at any time by contacting support. Signed documents and audit trails will be retained for 7 years for legal compliance purposes.

11. Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration shall take place in San Francisco, California. You waive any right to a jury trial or to participate in a class action lawsuit. This arbitration provision does not prevent you from bringing issues to the attention of federal, state, or local agencies.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by email or through the Service. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service.

14. Miscellaneous

These Terms constitute the entire agreement between you and monosign regarding the Service. If any provision is found to be unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision will not be deemed a waiver. You may not assign or transfer these Terms without our prior written consent.
